These Terms & Conditions ("Terms") govern your access to and use of the Zelin & Associates CPA website at zelincpa.com (the "Site") and the IRS penalty- and interest-recovery services (the "Services") provided by Zelin & Associates CPA LLC ("we," "us," or "our"). 1. Eligibility
You must be at least 18 years old and able to form a binding contract to use the Services. By using the Services, you represent that the information you provide is accurate and that you are authorized to submit it (including, for businesses, that you are authorized to act on the entity's behalf).
2. Description of services
We help individuals and businesses identify and pursue refunds of certain IRS penalties and related interest that may have been improperly assessed during the COVID disaster window (on or about January 20, 2020 through July 10, 2023), consistent with applicable court rulings, including Abdo v. United States (2024) and Kwong v. United States (2025). Our Services may include reviewing your IRS account transcripts on a view-only basis, estimating a potential refund, and preparing and submitting a claim on your authorization.
3. No legal or tax advice
Unless we expressly agree otherwise in a signed engagement, use of the Site and Services does not create an attorney–client relationship and does not constitute legal advice. Information on the Site is general in nature. You are encouraged to consult your own attorney, CPA, or enrolled agent regarding your specific situation.
4. Authorization & your responsibilities
- You authorize us to review your IRS account information on a view-only basis solely to evaluate eligibility and prepare a claim.
- We will not file any claim or take action on your IRS account without your explicit, signed authorization (which may include IRS Form 2848 or 8821 as applicable).
- You agree to provide accurate, complete, and timely information and documents.
- You remain responsible for the accuracy of your tax filings and for any amounts you owe to the IRS.
5. Fees & contingency
Checking your eligibility is free. If you engage us and we recover a refund for you, you agree to pay a contingency fee equal to [FEE]% of the amount actually recovered, due only after the refund is issued. If no refund is recovered, you owe no fee for the recovery work. Certain third-party costs, if any, will be disclosed in your engagement agreement. The specific fee, payment method, and any exceptions are governed by the separate written engagement agreement you sign, which controls if it conflicts with this Section.
6. No guarantee of results
Eligibility, refund amounts, and processing times are estimates based on court rulings and your individual IRS record. We do not and cannot guarantee that the IRS will approve any claim, the amount of any refund, or the time to process it. Past results and figures shown on the Site are illustrative and do not guarantee future outcomes.
7. Deadlines
Refund claims are subject to strict filing deadlines, including a deadline of July 10, 2026 for the claims described on the Site. We are not responsible for claims that cannot be filed because information or authorizations were not provided in time, or for deadlines that change due to action by the IRS, courts, or legislation.
8. Partner program
If you participate in our partner/referral program, you may earn a profit share (e.g., [20]%) on qualifying recoveries from clients you refer, subject to the separate partner agreement. You agree to market the Services truthfully, to comply with applicable advertising and privacy laws, and not to make guarantees on our behalf. We may modify or end the program at any time.
9. Intellectual property
The Site and its content — including text, design, logos, and graphics — are owned by us or our licensors and are protected by intellectual-property laws. You may not copy, reproduce, or create derivative works without our written permission, except for your own personal, non-commercial use of the Site.
10. Acceptable use
You agree not to: (a) provide false or fraudulent information; (b) use the Services for any unlawful purpose; (c) attempt to gain unauthorized access to the Site or its systems; (d) interfere with the Site's operation or security; or (e) scrape, harvest, or misuse data from the Site.
11. Disclaimers
THE SITE AND SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SITE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE. IRSPENALTYREFUND.COM IS NOT AFFILIATED WITH, ENDORSED BY, OR SPONSORED BY THE INTERNAL REVENUE SERVICE OR ANY GOVERNMENT AGENCY.
12. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, ARISING FROM YOUR USE OF THE SITE OR SERVICES. OUR TOTAL LIABILITY FOR ANY CLAIM RELATING TO THE SERVICES WILL NOT EXCEED THE AMOUNT OF FEES YOU ACTUALLY PAID US FOR THE SERVICES GIVING RISE TO THE CLAIM. SOME JURISDICTIONS DO NOT ALLOW CERTAIN LIMITATIONS, SO SOME OF THESE LIMITATIONS MAY NOT APPLY TO YOU.
13. Indemnification
You agree to indemnify and hold harmless Zelin & Associates CPA LLC and its officers, employees, and agents from any claims, losses, or expenses (including reasonable attorneys' fees) arising from your breach of these Terms, your misuse of the Services, or inaccurate information you provide.
14. Governing law & dispute resolution
These Terms are governed by the laws of the State of [STATE], without regard to conflict-of-laws rules. Any dispute will be resolved in the state or federal courts located in [COUNTY/STATE], unless a binding arbitration clause is added here.
